Tot op heden is het aandeelhouderschap van een vennootschap niet openbaar te consulteren. In de toekomst zal dit grotendeels veranderen als gevolg van de vierde anti-witwasrichtlijn van de Europese Unie (EU/2015/849). Deze richtlijn, die in België werd omgezet middels de Wet van 18 september 2017 tot voorkoming van het witwassen van geld en financiering van terrorisme en tot beperking van het gebruik van contanten, voert het zogenaamde “UBO-register“ in. Dit is een centraal register waarin de uiteindelijke begunstigden (“Ultimate Beneficial Owner” of “UBO”) van vennootschappen, (internationale) VZW’s, stichtingen en trusts worden geïdentificeerd. Het UBO-register doet stof opwaaien aangezien het grote publiek voortaan toegang zal krijgen tot dit register, weliswaar onder beperkte voorwaarden.

 

Wie wordt beschouwd als “uiteindelijke begunstigde”?

Dit zijn overeenkomstig artikel 4, 27° van de wet van 18.09.2017: “de natuurlijke personen die de uiteindelijke eigenaar zijn van of zeggenschap hebben over de cliënt, de lasthebber van de cliënt of de begunstigde van levensverzekeringsovereenkomsten en/of de natuurlijke personen voor wier rekening een verrichting wordt uitgevoerd of een zakelijke relatie wordt aangegaan”. Wie dit dan concreet zijn, dient ietwat verschillend te worden beantwoord naargelang de informatieplichtige een vennootschap, een (internationale) VZW, een stichting of een trust is.

Wat betreft de vennootschappen worden alvast drie categorieën van uiteindelijke begunstigden onderscheiden:

  1. De natuurlijke personen die rechtstreeks of onrechtstreeks een toereikend percentage van de stemrechten of van het eigendomsbelang in deze vennootschap houden. Hieromtrent wordt in de wet verduidelijkt dat een belang van meer dan 25 % van de stemrechten of van meer dan 25% van de aandelen of het kapitaal van de vennootschap, geldt als een indicatie van een toereikend percentage. Indien de eigendom van deze aandelen zou zijn opgesplitst in naakte eigendom en vruchtgebruik, moeten bovendien zowel de naakte eigenaar als de vruchtgebruiker gepreciseerd worden.
  2. De natuurlijke personen die zeggenschap hebben over de vennootschap via andere middelen. Bijvoorbeeld een minderheidsaandeelhouder die op basis van een aandeelhoudersovereenkomst bepaalde vetorechten heeft of het recht heeft een bestuurder voor te dragen.
  3. Wanneer geen van bovenvermelde personen geïdentificeerd kunnen worden, moeten de gegevens van het hoger leidinggevend personeel opgenomen worden.

De bestuurders van elke vennootschap zullen toereikende en accurate informatie over de uiteindelijke begunstigden moeten ingeven en up-to-date houden.

Over welke gegevens gaat het?

Het register verzamelt de volgende (privacygevoelige) gegevens van elke uiteindelijke begunstigde:

  • Naam en voornaam;
  • Rijksregisternummer;
  • Land van verblijf en volledige verblijfadres;
  • Geboortedatum;
  • Nationaliteit(en);
  • Aard en omvang van het economisch belang van alle uiteindelijke begunstigden;
  • Datum waarop hij begunstigde is geworden; en
  • De categorie van “uiteindelijke begunstigde” waartoe hij behoort, met desgevallend nadere omschrijving hiervan.

 

Wie heeft toegang?

Het register zal in eerste instantie toegankelijk zijn voor de bevoegde autoriteiten (o.a. overheden en de fiscale administratie). Ook entiteiten die belast zijn met de specifieke waakzaamheidsverplichtingen ten aanzien van de cliënten, o.a. in de strijd tegen terrorisme en witwaspraktijken, hebben toegang tot het register (bijvoorbeeld banken, notarissen en accountants).

Nog straffer is dat ook elke gewone burger inzage kan krijgen in het UBO-register van vennootschappen. Zo zal uw buurman, uw collega en uw vrienden kunnen nakijken wat uw participatie is in een vennootschap waarvoor u als uiteindelijke begunstigde geregistreerd werd. Voor VZW’s, stichtingen of trusts moet men hiervoor wel een legitiem belang kunnen aantonen.

Opzoekingen kunnen enkel aan de hand van een ondernemingsnummer of vennootschapsnaam. Het is bijgevolg niet mogelijk te zoeken op de naam van de begunstigde. De lidstaten kunnen deze toegang ook afhankelijk maken van het betalen van een vergoeding of online registratie.

Om toch niet (te veel) in het vaarwater te komen van de GDPR (algemene verordening van gegevensbescherming) die op 25.05.2018 in werking trad, zullen bepaalde gegevens niet door burgers consulteerbaar zijn. Het gaat o.a. om exacte verblijfadressen en rijksregisternummer.

 

Zijn er uitzonderingen?

Het UBO-register zorgt voor een grote transparantie wat betreft vermogensgegevens. Veel ondernemers en ook vermogende familiebedrijven zullen er dan ook baat bij hebben dergelijke info te anonimiseren voor het grote publiek.

De UBO kan aan de Algemene Administratie een verzoek indienen om een deel of alle gegevens met betrekking tot de UBO te verbergen. Bij het verzoek dient de UBO aan te tonen dat de toegang tot de informatie hem blootstelt aan een onevenredig risico, frauderisico, ontvoering, chantage, afpersing, geweld, intimidatie of pesterijen. Indien de UBO minderjarig of anderszins handelingsonbekwaam is, wordt de uitzondering automatisch toegepast.

 

Wat zijn de sancties?

De bestuurders die inbreuken plegen op de wettelijke informatieverplichtingen betreffende het UBO-register,  riskeren een administratieve boete van € 250,00 € tot € 50.000,00 €. De betrokken bestuurder zal wel eerst worden gehoord, minstens behoorlijk worden opgeroepen om te worden verhoord.

 

Tegen wanneer en op welke manier moet men registreren?

De oorspronkelijke deadline van 31 maart 2019 is ondertussen verschoven naar 30 september 2019. Tegen deze datum dienen alle gegevens in het register ingevoerd te zijn via het online MyMinFin-portaal (www.myminfin.be). De juistheid van informatie in het UBO-register dient vervolgens jaarlijks te worden bevestigd door de informatieplichtige.

Aandeelhouders met een participatie van meer dan 25% zullen zich dus niet meer kunnen schuilen achter private aandeelhoudersregisters. Het UBO-register zal voortaan een meer gedetailleerde kijk geven in het vermogen van bepaalde ondernemers en welstellende families.

Jusqu’à présent, la structure de l’actionnariat d’une société n’était pas accessible au public. A l’avenir, cette situation va largement changer à la suite de la quatrième directive de l’Union européenne contre le blanchiment d’argent (EU/2015/849). Cette directive, qui a été transposée en Belgique par la loi du 18 septembre 2017 relative à la prévention du blanchiment de capitaux et du financement du terrorisme et à la limitation de l’utilisation des espèces, introduit le « registre UBO ». Il s’agit d’un registre central dans lequel le bénéficiaire effectif des sociétés (« Ultimate Beneficial Owner » ou « UBO »), ASBL (internationale), fondations et trust est identifié. Le registre UBO suscite la controverse car le grand public aura désormais accès à ce registre, mais à des conditions limitées.

 

 

Qui est considéré comme le “bénéficiaire effectif” ?

 

Il s’agit, conformément à l’article 4, 27° de la loi du 18.09.2017 : « des personnes physiques qui, en dernier ressort, possèdent ou contrôlent le client, le mandataire du client ou le bénéficiaire des contrats d’assurance –vie, et/ou la ou les personnes physiques pour lesquelles une opération est exécutée ou une relation d’affaire nouée ».

À la question de savoir qui cela signifie concrètement, il convient d’y répondre de manière quelque peu différente, selon qu’il s’agit d’une obligation d’information qui repose sur une société, une ASBL (internationale), une fondation ou un trust.

 

En ce qui concerne les sociétés, trois catégories de bénéficiaires effectifs sont distinguées :

 

  1. Les personnes physiques qui détiennent directement ou indirectement un pourcentage suffisant des droits de vote ou de la participation suffisante dans cette société. A cet égard, la loi précise qu’une possession supérieure à 25% des droits de vote ou supérieure à 25% des actions ou du capital de la société est un indice d’un pourcentage suffisant. Si la propriété de ces actions a été scindée en nue-propriété et usufruit, le nu-propriétaire et l’usufruitier doivent également être précisés.
  2. Les personnes physiques qui exercent le contrôle de cette société par d’autres moyens. Par exemple, un actionnaire minoritaire qui sur base d’une convention entre actionnaires dispose de certain droit de véto ou un droit de nommer un administrateur.
  3. Lorsqu’aucune des personnes susmentionnées ne peut être identifiées, les données du dirigeant principal doivent être fournies.

Les administrateurs de chaque société devront saisir et tenir à jour des informations suffisantes et exactes sur les bénéficiaires effectifs.

De quelles données s’agit-il ?

 

Le registre recueille les données suivantes (sensibles du point de vue de la vie privée) auprès de chaque bénéficiaire effectif :

 

  • Nom et prénom;
  • Numéro de registre national;
  • Pays de résidence et adresse complète de la résidence ;
  • Date de naissance;
  • Nationalité(s);
  • Nature et étendue de l’intérêt économique de tous les bénéficiaires effectifs;
  • Date à laquelle il est devenu bénéficiaire; et
  • La catégorie de “bénéficiaire effectif” à laquelle il appartient, avec, le cas échéant, une description de celle-ci.

 

Qui a accès ?

 

Dans un premier temps, le registre sera accessible aux autorités compétentes (y compris les autorités publiques et les autorités fiscales). Les entités chargées d’obligations spécifiques de vigilance à l’égard de la clientèle, notamment dans le cadre de la lutte contre le terrorisme et le blanchiment d’argent, auront également accès au registre (par exemple, les banques, les notaires et les comptables).

 

Plus strict encore, tout citoyen ordinaire peut également avoir accès au registre du commerce de l’UBO. Ainsi, votre voisin, votre collègue et vos amis pourront vérifier quelle est votre participation dans une entreprise pour laquelle vous étiez inscrit comme bénéficiaire effectif. Pour les ASBL, les fondations ou les trusts, vous devez être en mesure de démontrer un intérêt légitime à cet égard.

 

La recherche ne peut être effectuée qu’au moyen d’un numéro ou d’une dénomination sociale. Il n’est donc pas possible d’effectuer une recherche avec le nom du bénéficiaire. Les États membres peuvent également subordonner cet accès au paiement d’une redevance ou à un enregistrement en ligne.

 

Afin de ne pas entrer (trop) dans l’étude du GDPR (règlement général de la protection des données) entré en vigueur le 25.05.2018, certaines données ne seront pas consultables par le citoyen. Il s’agit, entres autres, des adresses exactes de la résidence et du numéro de registre national.

 

 

Y-a-t-il des exceptions ?

 

Le registre UBO assure un degré élevé de transparence en ce qui concerne l’information sur les actifs. De nombreux entrepreneurs ainsi que des entreprises familiales fortunées bénéficieront donc de l’anonymat de ces informations pour le grand public.

 

Le UBO peut demander à l’Administration générale de cacher tout ou partie des informations concernant le UBO. Dans sa demande, le UBO doit démontrer que l’accès à l’info
rmation l’expose à un risque disproportionné de fraude, d’enlèvement, de chantage, d’extorsion, de violence, d’intimidation, ou de harcèlement. Si le UBO est mineur ou incapable d’agir, l’exception sera automatiquement appliquée.

 

Quels sont les sanctions ?

 

Les administrateurs qui ne respectent pas les obligations légales d’information concernant le registre UBO risquent une amende administrative de 250,00 € à 50.000,00€. Toutefois, l’administrateur concerné sera d’abord entendu, ou du moins dûment convoqué pour être entendu.

 

Quand et comment devons-nous nous inscrire ?

 

L’échéance initiale du 31 mars 2019 a entre-temps été reportée au 30 septembre 2019. A cette date, toutes les données du registre doivent être saisies via le portail en ligne MyMinFin (www.myminfin.be). L’exactitude des informations figurant dans le registre UBO doit ensuite être confirmée chaque année par l’agent déclarant.

 

Les actionnaires détenant une participation supérieure à 25% ne pourront donc plus se cacher derrière des registres privés d’actionnaires. Désormais, le registre UBO donnera un aperçu plus détaillé des actifs de certains entrepreneurs et de certaines familles fortunées.

Up untill now the shareholdership of a company wasn’t publicly available for consultation. This will change largely as a result of the fourth anti-money laundering directive of the European Union (EU/2018/849) This directive, transposed in Belgium by the “Wet van 18 september 2017 tot voorkoming van het witwassen van geld en financiering van terrorisme en tot beperking van het gebruik van contanten”, imposes the so called “UBO-register”. This is a central register wherein the ultimate beneficiaries (“Ultimate Beneficial Owner” or “UBO”) of companies, (international) so called “VZW’s”, foundations and trusts are identified.  The UBO register is causing a stir as the general public will henceforth have access to this register, albeit under limited conditions.

 

 

Who is considered to be an “ultimate beneficiary”?

 

Article 4, 27° of the law of 19.09.2017: “the natural persons who are the ultimate owners or who control the customer, the customer’s agent or the beneficiary of life insurance contracts and/or the natural persons on whose behalf a transaction is carried out or a business relationship is started”. Who these concretely are, should be answered somewhat differently depending on whether the reporting agent is a company, an (international) VZW, a foundation or a trust.

 

Concerning the companies, they can be distinguished between three categories of ultimate beneficiaries:

 

  1. The natural persons who directly or indirectly possess a sufficient percentage of voting rights or of the ownership interest in this company. In this respect, the law clarifies that an interest of more than 25% of the voting rights or of more than 25% of the shares or capital of the company is an indication of a sufficient percentage. If the ownership of these shares would have been split into bare ownership and usufruct, both the bare owner and the usufructuary must also be specified.
  2. The natural persons who control the company through other means. For example, a minority shareholder who has certain veto rights based on a shareholders agreement or the right to nominate a director.
  3. Where none of the above persons can be identified, the details of senior management must be included.

The directors of each company shall have to enter and keep up to date sufficient and accurate information about the ultimate beneficiaries.

 

Concerning so called “VZW’s”, foundation, trusts and other legal constructions we refer to the Website of the “FOD Financiën”. It shows who must be registered as a UBO for which type of legal entity: https://financien.belgium.be/nl/ubo-register .

What data is it about?

 

The registry collects the following (privacy-sensitive) data from each ultimate beneficiary:

  • Surname and first name;
  • National registry number;
  • Country of residence and full address;
  • Date of birth;
  • Nationality(ies);
  • Nature and extent of the economic interest of all ultimate beneficiaries;
  • Date on which he became a beneficiary; and
  • The category of “beneficial owner” to which he belongs, with a description of it where appropriate.

 

Who has access?

 

The register will initially be accessible to the competent authorities (including public authorities and tax authorities). Entities in charge of specific customer vigilance obligations, including in the fight against terrorism and money laundering, will also have access to the register (e.g. banks, notaries and accountants).

 

Even more surprising is that every ordinary citizen can also have access to the UBO register of companies. This way, your neighbour, your colleague and your friends will be able to check your participation in a company for which you were registered as the ultimate beneficiary. For VZW’s, foundations or trusts, you must be able to demonstrate a legitimate interest.

 

Researches can only be done by means of a company number or company name. It is therefore not possible to search on the name of the beneficiary. Member States may also make this access conditional on the payment of a fee or online registration.

 

However, in order to avoid (too much) invasion of the GDPR (General Data Protection Regulation) whi
ch entered into force on 25.05.2018, certain data will not be available for consultation by citizens. These include exact residence addresses and national register number.

 

 

Are there exceptions?

 

The UBO-register provides a bigger transparency concerning asset information. Many entrepreneurs and also wealthy family corporations will benefit of the anonymization of such information for the general public.

 

The UBO can submit a request with the General Administration to hide part of or all of the date considering the UBO. The UBO has to prove the access to the information exposes him to a disproportionate risk, risk of fraude, kidnapping, blackmail, extortion, violence, intimidation or bullying. If the UBO is a minor or legally incapacitated to act, the exception will be automatically applied.

 

What are the sanctions?

 

Directors who breach the legal information obligations concerning the UBO register risk an administrative fine of € 250.00 to € 50,000.00. However, the director concerned will first be heard, or at least properly summoned to be heard.

 

By when and how should one register?

 

The original deadline of 31 March 2019 has meanwhile been postponed to 30 September 2019. By this date, all data in the register must be entered via the online MyMinFin portal (www.myminfin.be). The accuracy of information in the UBO register must then be confirmed annually by the reporting agent.

 

Shareholders with a participation of more than 25% will therefore no longer be able to hide behind private registers of shareholders. From now on, the UBO register will give a more detailed view of the assets of certain entrepreneurs and wealthy families.
